# Skill: Draft LPA from Data Room — Three-Deliverable Structure

## 1. Subject-matter triage

- Treat the agreement draft as the primary deliverable and write it first; do not let the memo or checklist displace the operative LPA.
- Use the source materials to extract all fund terms, then draft from first principles rather than importing a prior-fund form.
- If the source set contains multiple versions of a term, identify the controlling document hierarchy before drafting.
- If a material fund parameter is missing, flag it expressly as needing confirmation rather than silently filling the gap.

## 2. Failure modes the skill is correcting

- Produces only a summary or outline instead of a full, operative LPA in article-and-section form.
- Omits the issues memo or side letter checklist, or reduces either to a superficial topic list.
- Drafts around assumptions where the source materials require an actual term decision.
- Fails to reconcile inconsistencies across source documents, leaving the package internally mismatched.
- Treats negotiation points as generic instead of tying them to the fund’s actual economics, governance, and offering mechanics.
- Neglects to surface model-document departures and the reason each departure matters.

## 3. Legal frameworks / domain conventions that apply

- Build the LPA in the standard private fund article sequence: formation and term, commitments and capital calls, investments and restrictions, allocations, distributions, fees and expenses, carry and clawback, GP authority and removal, LPAC, transfers, dissolution and winding up, reporting and records, tax, and miscellaneous.
- Draft each article as operative legal text, not as commentary or bullet-point paraphrase.
- Anchor each provision to the facts in the data room: fund name, jurisdiction, governing law, GP identity, size parameters, commitment mechanics, term, investment period, fee stack, carry, preferred return, key-person mechanics, and governance structure.
- Where the source materials point to regulatory or tax implications, tie the drafting and the issues memo to the applicable legal framework identified in the materials or standard fund practice.
- Where the source set contains template language or model provisions, note departures and the business or legal rationale for them.
- For side letter drafting, use market-standard categories: economics, co-investment, reporting, regulatory accommodations, governance, transfers, and similar negotiated accommodations.
- Minimum commitment concepts may be drafted with flexibility if the source materials support waiver or modification for particular investors; do not hard-code rigidity if the offering mechanics call for discretion.

## 4. Analytical scaffolds

### A. Extract and normalize the fund facts
- Compile a single working fact set from all source documents.
- Separate confirmed terms from open items.
- If two source documents conflict, identify the conflict, determine whether the materials state a hierarchy, and carry the controlling term into the draft.

### B. Draft the LPA
- Draft article by article in a complete legal-document format.
- Use the extracted facts to populate operative terms, defined terms, and fallback mechanics.
- Avoid placeholders unless the source set expressly leaves an item unresolved.
- Ensure related provisions cross-reference one another coherently, especially economics, transfer restrictions, governance, and termination provisions.

### C. Draft the issues memo
- Organize by issue category: conflicts, gaps, compliance/regulatory questions, and offering-structure questions.
- For each issue, identify the source materials that create it, explain why it matters, and state the decision needed.
- When discussing an issue, tie it to the relevant fund parameter or clause interaction so the consequence is clear.
- End each issue entry with a practical recommendation and the responsible decision-maker or drafting owner.

### D. Draft the side letter checklist
- Organize by negotiated category rather than by document order.
- For each category, state the provision concept, the GP’s likely policy position, the market range or customary approach, and any source-material precedent or request.
- Use the checklist to give counsel a negotiation framework, not just a catalog of topics.
- Include a clear status or significance indicator for each item so the negotiation priorities are easy to triage.

## 5. Vertical / structural / temporal relationships

- Map how each LPA provision interacts with related provisions elsewhere in the document, especially where economics, governance, or liquidity mechanics depend on one another.
- Track temporal sequencing: formation before commitments, commitments before capital calls, investment period before harvest, termination before winding up, and reporting throughout.
- When a decision affects more than one investor class, side letter category, or fund stage, make that dependency explicit in the draft and the memo.
- If multiple counterparties or investor groups are implicated, address each relevant group separately rather than collapsing distinct treatment into a single generic pass.

## 6. Output structure conventions

- Produce three distinct deliverables: the LPA draft, the issues memo, and the side letter checklist.
- The LPA draft must read as a formal agreement with articles, sections, definitions, and operative provisions.
- The issues memo must be a substantive advisory memo with organized issue entries, source-material references, significance, and recommended resolution.
- The side letter checklist must be organized by category and present negotiation-relevant detail for each provision.
- Keep the package internally consistent: terms used in the memo and checklist should match the operative drafting.
- Before finishing, verify that the primary agreement file is complete and operative, and that the memo and checklist are non-empty and substantively useful.
