### Dubai (DIFC/ADGM + VARA)
**Authority:** Virtual Assets Regulatory Authority (VARA) — established by Dubai Law No. 4 of 2022

**Prediction markets:** Not explicitly regulated under VARA's current framework. Opportunity to be among the FIRST licensed prediction market operators under VARA's "Virtual Asset Service" licensing regime.

**Authority:** Monetary Authority of Singapore (MAS); Payment Services Act (PSA) 2019, amended 2022

**Licenses relevant to Nick:**
- Major Payment Institution (MPI) license: for digital payment token (DPT) services — custody, transfer, exchange of crypto
- Capital Markets Services (CMS) license: for securities and derivatives (if prediction contracts are classified as derivatives)
- Digital Payment Token (DPT) service: lower threshold; for businesses dealing in DPT

**Prediction markets:** Not specifically addressed. Singapore's approach is to fit novel products into existing frameworks. A prediction market on non-securities outcomes is likely a DPT service or a regulated market (depending on structure).

**MAS Regulatory Sandbox:** Apply for a 12-month sandbox period to test the product with real users under relaxed requirements while MAS determines appropriate regulation.

**Tax:**

- 0% capital gains tax
- Bermuda has no income tax, capital gains tax, or withholding tax

**Cost:** $20,000-$40,000 setup + $10,000-$20,000/year BMA fees
**Timeline:** BMA licensing: 3-6 months

**MiCA (Markets in Crypto-Assets Regulation):** If operating for EU customers, you now need MiCA compliance regardless of EU jurisdiction. Malta's VFA framework is being harmonized with MiCA.

**Key advantage for Nick:** If EU market is a target, a Malta VFA license transitions to MiCA compliance more easily than starting fresh. Malta also has relatively low corporate tax (5% effective rate with refund system).

Novel prediction contracts that don't qualify as MiFID II instruments → potentially covered by MiCA as "other crypto-assets."

**MiCA compliance requirements:**

- Disclosure requirements: ongoing transparency obligations
- Capital requirements: minimum own funds (€50K-€150K depending on license type)

- Cayman Foundation: has Cayman-resident supervisors; maintains local registered agent; treasury held in Cayman bank

**Pitfall to avoid:** A multi-jurisdiction structure where all actual work and decision-making happens in Iowa → courts look through the structure. Each entity must have genuine, documented operational substance in its jurisdiction.

## The Curaçao Option (Fast and Cheap — With Caveats)

**Authority:** Curaçao Gaming Control Board (GCB)
**License:** Master gaming license (covers online gambling and prediction markets)
**Cost:** $20,000-$40,000 + $5,000-$15,000/year
**Timeline:** 4-8 weeks
**Tax:** 0% on offshore income

**Who uses it:** Stake.com, Roobet, many crypto gambling sites

**The reality:**
- Curaçao license is the "move fast" option with lowest regulatory burden
- NOT accepted by payment processors or banks who require more reputable regulation
- NOT accepted by institutional investors
- NOT accepted by the US, UK, EU, Australia as legitimate
- EXCELLENT for: serving developing markets, crypto-native users, and building initial scale before upgrading to a real license

**Lesson:** Use Curaçao as a bridge license if you need to launch globally before achieving regulatory credibility. Plan to upgrade to Dubai VARA, Singapore MAS, or MFSA/MiCA within 18 months.
