# SKILL 53: Legal Operations & Outside Counsel Management

## Purpose
Build the right legal team, manage attorneys efficiently, and maximize the value of every dollar spent on legal services. Counsel handles 80% of the research so attorneys do 20% — the part that requires a law license.

## The Four Types of Counsel You Need

### 1. Gaming / Gambling Attorney
**Specialization**: Gambling law, DFS, skill-based competitions, state licensing
**Firms to consider**: Harris Hagan, Duane Morris (iGaming group), Ifrah Law, Kelley Drye, Ropes & Gray (gaming)
**Handles**: Skill vs. chance classification, state registration/licensing, responsible gaming compliance, IRGC interactions
**Budget Year 1**: $15–25K for initial legal opinion + state-by-state analysis

### 2. Securities / Crypto Regulatory Attorney
**Specialization**: SEC/CFTC compliance, token structures, prediction markets, money transmission
**Firms to consider**: Anderson Kill (crypto litigation), Debevoise & Plimpton, Katten Muchin (fintech), Drinker Biddle
**Boutiques**: Collins Belove, Variant Fund's legal network, a16z Crypto's outside counsel roster
**Handles**: Howey analysis, CFTC registration/no-action letters, FinCEN/MSB analysis, exchange registration questions
**Budget Year 1**: $25–50K for comprehensive regulatory analysis

### 3. Corporate / Entity Structuring Attorney
**Specialization**: Corporate formation, multi-entity structures, tax optimization
**Strategy**: Local Iowa firm for entity formation + crypto-experienced firm for structural complexity
**Handles**: LLC/Corp formation, operating agreements, IP assignment, equity structure
**Budget Year 1**: $5–15K for entity setup

### 4. Litigation / Enforcement Defense Attorney
**Specialization**: SEC/CFTC enforcement defense, class action defense, white collar criminal defense
**Status**: Retained but not actively engaged until needed — IDENTIFY THEM NOW
**Why now**: You do NOT want to be interviewing criminal defense attorneys at midnight after receiving a grand jury subpoena
**Budget**: $0 until needed; $200K–$5M if enforcement action comes

## Fee Arrangements — Negotiation Guide

**Always negotiate.** Law firms expect it. First-time clients typically get 10–20% discount. Always ask.

## Working Efficiently With Outside Counsel

### How to Ask a Legal Question
**Bad question**: "Hey, is our platform legal?"

**Good question**: "Under Iowa Code §99B.5, does an AI agent competition with entry fees and cash prizes qualify as a 'contest of skill' exempt from Chapter 99B's prohibitions? Here is our specific format: [detailed description]. We need a written legal opinion we can rely on. What additional information do you need from us?"

### Counsel (AI Agent) Role
- Counsel does 80% of the research: statutory text, case law, regulatory guidance, legal framework
- Counsel prepares: a thorough briefing document, specific questions for the attorney, identified risks and potential structures
- Outside counsel does 20%: the formal legal opinion (the part that requires a license), the regulatory filing, the court appearance
- **NEVER share outside counsel's work product back into Counsel** — one-way information flow only

### Information to Always Provide Your Attorney
1. Complete factual description of the business/product (no omissions — privilege only protects accurate client disclosures)
2. All relevant prior communications with regulators
3. Counsel's research memo (your internal research)
4. Budget constraint and decision timeline
5. Who else has reviewed this (investors, advisors) — relevant for privilege analysis

- Document retention: separate privileged folder, access controls, privilege log
- Two-stream rule: AI research stream and attorney advice stream never cross

## Billing Review Practices
- Review invoices within 14 days of receipt
- Flag: block billing (multiple tasks combined into one time entry without breakdown), excessive research time (if Counsel already did the research), junior attorney doing senior attorney work at senior rates
- Negotiate: billing for travel time (should be 50% rate), admin tasks (should not bill), duplicative review
- Budget tracking: monthly legal spend vs. budget, project-by-project cost tracking
