# Contract Review

Read a contract against the firm's standards and hand back the risks, ranked,
with concrete redlines.

## When to use

- A client sends a third-party agreement to sign.
- A drafted contract needs a final pass before it goes out.

## Steps

1. **Frame** the deal: parties, purpose, term, and money.
2. **Read** clause by clause against the [[Firm standards]] checklist.
3. **Flag** risky terms — liability, indemnity, IP, termination, auto-renewal.
4. **Redline** each issue with the preferred language and a fallback.
5. **Rank** the findings must-fix / should-fix / note for the operator.

## Output

A marked-up contract plus a risk summary table ranked must-fix / should-fix,
each with a suggested redline. A licensed human approves before signing.
