When to Use

Use this skill when:

• A user has a concrete dispute (consumer complaint, contractor defect, landlord-tenant conflict, neighbor boundary issue, breach of contract claim, employment wage dispute, business partner disagreement) and wants to understand what resolution paths exist before escalating
• A user wants to compare negotiation, mediation, arbitration, and litigation on cost, timeline, control, and enforceability before choosing an approach
• A user has received a contract with a mandatory mediation or arbitration clause and wants to understand what they agreed to and what their rights are under that clause
• A user is preparing for an upcoming mediation or arbitration session and wants to know how to organize their evidence, present their position, and protect their interests
• A user wants to understand the escalation sequence -- what to try first, when to escalate, and what it costs to go further -- before spending money or time on formal processes

• The user faces an emergency legal situation: a restraining order, imminent eviction, impending contempt, or a criminal matter -- these require immediate licensed legal help
• The user needs jurisdiction-specific procedural guidance for a complex multi-party dispute -- use a jurisdiction-specific skill or refer to counsel
• The user wants deep analysis of a specific area of substantive law (employment discrimination, landlord-tenant statutes, consumer protection regulations) -- use the relevant legal literacy skill for that domain

Process

Step 1: Gather the Core Facts of the Dispute

Before recommending any resolution path, collect structured information to understand the situation. Do not proceed to recommendations without understanding these parameters -- the wrong method chosen at the outset wastes money and time.

• Who are the parties? Identify whether the opposing party is a business (corporation, LLC, sole proprietor), a government agency, an individual, a landlord, an employer, or an HOA. The type of opposing party determines available remedies, applicable statutes, and practical leverage.
• What is the dispute about? Categorize it: money owed, property damage, defective services or goods, breach of written contract, breach of oral agreement, personal injury, boundary or nuisance, discrimination, or employment matter. The category determines which legal standards apply and which resolution forums are appropriate.
• What is the dollar value or non-monetary stake? Get a specific number or range. Amounts under $10,000-$20,000 (depending on state) may be addressable in small claims court. Non-monetary stakes (specific performance, injunctions, cessation of ongoing behavior) require different forums than pure money claims.
• Is there a written contract? Ask the user to check the contract for: (a) a mandatory dispute resolution clause specifying mediation, arbitration, or both; (b) the governing law clause (which state's laws apply); (c) the forum selection clause (which state's courts have jurisdiction); (d) a notice requirement before dispute resolution can commence; (e) any limitation of liability clause capping damages.
• What has already been tried? Have direct communications occurred? Was there a written demand? Has the other side denied liability, ignored contact, or made a counter-offer? Knowing the current status prevents recommending steps already exhausted.
• Are there any deadlines? Ask about: statutes of limitations (typically 2-6 years depending on claim type and state), contractual notice deadlines, administrative filing deadlines (EEOC charges must be filed within 180-300 days of the discriminatory act), mechanics lien deadlines (typically 60-120 days from last day of work), and any pending demand or response deadlines the user has already received.

Step 2: Identify Mandatory Clauses and Threshold Issues

Some disputes have no real choice of method -- the contract or applicable law determines the process. Resolve threshold issues before presenting options.

• Check for a mandatory arbitration clause. If the contract contains language like "any dispute arising out of or relating to this agreement shall be resolved by binding arbitration," the user may be contractually required to arbitrate rather than litigate. This is enforceable under the Federal Arbitration Act (9 U.S.C. § 1 et seq.) in most circumstances.
• Identify the arbitration organization specified. Contracts typically name the administering organization: the American Arbitration Association (AAA), JAMS, the International Chamber of Commerce (ICC), the Financial Industry Regulatory Authority (FINRA, for securities disputes), or a specific state organization. Each organization has its own procedural rules and fee schedules. The AAA Consumer Arbitration Rules, for example, cap consumer filing fees at $200 and require the business to pay most arbitration costs for claims under $75,000.
• Distinguish binding from non-binding arbitration. Binding arbitration produces a final award enforceable in court like a judgment, with very limited appeal grounds (vacatur available only for fraud, corruption, evident partiality, arbitrator misconduct, or exceeding the arbitrator's authority under the FAA). Non-binding arbitration allows either party to reject the award and proceed to court -- it functions more like a structured evaluation.
• Check for a mandatory pre-dispute resolution step. Many contracts require written notice of a dispute and a waiting period (commonly 30-60 days) before arbitration or litigation can be initiated. Skipping this step can result in dismissal.
• Identify whether a class action waiver is present. Many consumer contracts couple mandatory arbitration with a class action waiver, preventing consumers from joining class actions. The user should understand this limits their ability to join with similarly situated claimants.
• Flag administrative exhaustion requirements. Employment discrimination claims must typically be filed with the EEOC (or relevant state agency) before a private lawsuit can be brought. Disputes with government agencies often require exhausting an administrative appeals process first.

Step 3: Explain the Dispute Resolution Escalation Ladder

Present the four primary methods from least to most formal and costly. Emphasize that this is a ladder -- most disputes resolve early, and escalating costs rise sharply at each rung.

Rung 1: Direct Negotiation

Direct negotiation is two parties (or their representatives) communicating to reach a mutually acceptable resolution without any third party. It is the fastest, cheapest, and most relationship-preserving option, and it resolves the majority of disputes when both parties are willing to engage in good faith.

• Preparation anchors on two critical concepts: your BATNA (Best Alternative to a Negotiated Agreement -- what you will do if negotiations fail, which defines your true walk-away point) and your ZOPA (Zone of Possible Agreement -- the range between the minimum acceptable to you and the maximum acceptable to the other side). If a ZOPA exists, a deal is possible.
• Effective negotiation requires separating positions from interests. A position is what someone says they want ("I want a full refund"). An interest is why they want it ("I need the money I budgeted for this project to hire a replacement contractor"). Addressing interests rather than positions opens creative solutions.
• Use principled negotiation (the Fisher-Ury method from "Getting to Yes"): focus on objective criteria (market rates, contract language, industry standards), separate the people from the problem, and generate options before evaluating them.
• In writing matters for evidence. A verbal agreement is difficult to enforce. Any negotiated resolution should be confirmed in writing -- at minimum, a confirming email or letter that says "This confirms our agreement that..." -- before treating the matter as resolved.
• A formal demand letter is the professional version of direct negotiation. It states the facts, the legal basis for the claim (breach of contract, negligence, violation of consumer protection statute), the requested remedy, and a deadline for response (14-30 days is standard). It creates a paper trail, signals seriousness, and often produces a response that informal calls do not.
• Costs: $0-$300 for your time and potentially an attorney's time to draft a demand letter. Some attorneys offer flat-fee demand letter drafting ($150-$400).
• Timeline: Days to 4 weeks.
• When it fails: The other party ignores the demand, denies all liability without engaging the substance, proposes an unreasonably low counter-offer, or claims they owe nothing and will not negotiate.

Rung 2: Mediation

Mediation is a confidential, voluntary process where a neutral third party (the mediator) facilitates structured communication to help the parties reach their own mutually acceptable resolution. The mediator does NOT decide the outcome -- they facilitate, probe interests, reality-test positions, and help parties generate options.

• The mediator's role is to conduct joint sessions (both parties present) and private caucuses (meeting with each party separately). In a private caucus, the mediator may probe your true interests and walk-away points. Information shared in caucus is typically confidential unless you authorize its disclosure.
• There are two primary mediation styles: evaluative mediation (the mediator gives opinions on the likely outcome if the case went to court, creating reality-testing pressure) and facilitative mediation (the mediator asks questions and reflects perspectives without evaluating, letting parties reach their own conclusions). For disputes where the legal merits are contested, evaluative mediation is often more effective.
• Mediation is confidential by statute in most states (e.g., the Uniform Mediation Act, adopted in many states) -- statements made in mediation are generally inadmissible in later court proceedings and cannot be disclosed. This is a key advantage: parties can speak more freely without fear that admissions will be used against them.
• An agreement reached in mediation is typically memorialized in a written settlement agreement signed by both parties, which is then enforceable as a binding contract. In some jurisdictions, a mediated settlement agreement can be entered as a consent judgment for additional enforceability.
• Mediation can address non-monetary remedies: apologies, future conduct agreements, specific performance, relationship restructuring -- outcomes a court cannot easily order.
• Community mediation centers offer free or low-cost mediation for neighbor disputes, landlord-tenant conflicts, and small consumer disputes. Bar association referral services, court-connected mediation programs, and private mediation firms are other sources.
• Costs: Free to $200/hour at community centers. Private mediators range from $150-$500/hour for general commercial disputes and $500-$1,500/hour for complex cases, typically split equally between parties. An 8-hour mediation day can cost each party $600-$6,000.
• Timeline: A single-issue dispute can often be resolved in one half-day session (3-4 hours). Multi-issue disputes may require multiple sessions over 2-6 weeks.
• When it fails: One party refuses to participate, one party has no authority to make a binding decision, there is a significant factual dispute that requires evidence-based adjudication (rather than a negotiated compromise), or one party has a strong incentive to set a legal precedent.

Rung 3: Arbitration

Arbitration is a private adjudicative process where one or more neutral arbitrators hear evidence and arguments from both sides and render a binding (or non-binding) decision called an "award." It functions like a simplified private trial.

• In binding arbitration, the arbitrator's award is final. Federal courts will confirm (enforce) binding arbitration awards under the FAA, and grounds for vacating an award are extremely narrow. The parties give up their right to a jury and, in most cases, their right to a meaningful appeal.
• In non-binding arbitration, the award is advisory. Either party may accept it (often used as settlement leverage) or reject it and proceed to litigation. Court-annexed arbitration programs in some jurisdictions require non-binding arbitration before trial for claims below a certain threshold.
• Discovery in arbitration is limited compared to litigation. Most arbitration rules permit document exchange and depositions but far fewer than state or federal court rules allow. This can advantage the party with less information (often the consumer or employee) or the party with better documentation.
• Arbitrator selection matters enormously. Parties typically select arbitrators from a panel list provided by the administering organization. Review the arbitrator's background, areas of expertise, and decisions if available. A retired judge with 20 years of construction law experience is a very different arbitrator from a commercial lawyer with a real estate background.
• For consumer disputes, the AAA Consumer Arbitration Rules and JAMS Consumer Minimum Standards provide procedural protections: limited filing fees for consumers (AAA caps consumer fees at $200 for claims up to $75,000), business bears most arbitrator compensation costs, and hearings can be conducted telephonically.
• Costs: Arbitrator fees are typically $300-$600/hour for a single arbitrator on smaller claims and $500-$1,500/hour for complex matters or three-arbitrator panels. AAA filing fees range from $200 (consumer) to $3,500+ (commercial claims over $1 million). Attorney fees add $5,000-$50,000+ for represented parties.
• Timeline: AAA and JAMS target 60-180 days from filing to award for standard commercial cases. Complex multi-party cases can take 12-24 months.
• Advantages over litigation: Privacy (awards are not public record), speed, lower cost than full litigation, industry-specific arbitrators, finality.
• Disadvantages vs. litigation: Limited discovery, no jury, no meaningful appeal, potential arbitrator "repeat player" bias if the same institution and arbitrators handle many disputes for one side, and no public accountability.

Rung 4: Litigation

Litigation is the formal court process: filing a complaint, serving the defendant, conducting full discovery, motions practice, and ultimately trial before a judge or jury. It is the most formal, most expensive, and slowest option, but it provides the broadest remedies and meaningful appellate review.

• Small claims court is a simplified, low-cost version of litigation for smaller disputes ($5,000-$25,000 depending on state, with some states as low as $2,500 and some as high as $35,000). Rules of evidence are relaxed, no attorney is required (or often permitted), filing fees are $30-$100, and hearings are scheduled in weeks rather than years.
• Limited jurisdiction courts (county court, district court depending on state) handle mid-range claims above small claims limits. Full procedural rules apply, discovery is available, and attorney representation is common.
• General jurisdiction courts (state superior courts, U.S. District Court for federal claims) handle complex, high-value, or federal question matters. Full discovery (depositions, interrogatories, requests for production, expert witnesses), pre-trial motions, and trial are all available.
• Class action litigation is available where many individuals have the same or similar claims against a common defendant -- but only if there is no enforceable class action waiver in the contract.
• Full discovery is a major advantage of litigation. Parties can compel document production, take depositions under oath, serve interrogatories, and subpoena third-party records. This is critical in cases where the opposing party controls key evidence.
• Costs: Filing fees are $100-$500 in most courts. Attorney fees for litigated matters commonly run $5,000-$50,000 for cases through summary judgment and $50,000-$500,000+ for cases through trial. Expert witness fees can add $5,000-$50,000+. Litigation costs often exceed the amount in dispute for claims under $50,000.
• Timeline: 12-36 months from filing to trial in many state courts. Federal courts in high-caseload districts (Southern District of New York, Central District of California) can take 3-5 years.
• When litigation is the right choice: The dispute involves a legal question that needs precedent-setting resolution; the other party is acting in bad faith and will not negotiate; the claim exceeds the practical ceiling for mediation/arbitration; the user needs injunctive relief that only a court can effectively order and enforce; the opposing party's conduct is so egregious that public accountability (public court records) matters; or a class action mechanism is appropriate.

Step 4: Apply the Decision Framework to the User's Specific Dispute

Map the dispute's characteristics to the resolution method using the structured factors below. Do not give a generic recommendation -- use the actual facts gathered in Step 1.

Key decision triggers that override the general preference for lower-cost methods:

• Mandatory arbitration clause = arbitration is required (unless void, unconscionable, or waived)
• Government agency opponent = exhaust administrative remedies first
• Statute of limitations expiring = file litigation now to preserve rights, negotiate simultaneously
• Ongoing harm (continuing trespass, continuing contract breach) = mediation or litigation with injunctive relief, not arbitration (which typically only addresses past damages)
• The other party is a repeat institutional player using a preferred arbitration organization (potential repeat-player bias) = evaluate whether demanding court adjudication is worth the cost
• Class action potential (many similarly situated consumers) = litigation if no enforceable class action waiver; arbitration if waiver is present and valid

Step 5: Provide Method-Specific Preparation Guidance

Once the appropriate method is identified, give the user concrete preparation steps for that method. Generic preparation advice wastes the user's effort -- every step should be specific to what that forum requires.

Direct Negotiation Preparation:

• Define your BATNA with specificity: "If they don't respond to my demand letter, I will file in small claims court in 30 days." Vague BATNAs create weak negotiating positions.
• Define your ZOPA: What is your ideal outcome? Your minimum acceptable outcome? What will you actually walk away with? Do not start negotiating without knowing where you will stop.
• Prepare a demand letter structured as: (1) factual background, (2) what the other party did or failed to do, (3) the legal or contractual basis for your claim (cite the contract clause or statutory right), (4) the specific remedy requested, (5) a deadline (14-30 days), and (6) a statement of what you will do if they do not respond.
• Send the demand letter via certified mail, return receipt requested, AND via email to create a dual paper trail with timestamps.
• Anticipate their counterarguments and prepare factual responses.
• Determine who has authority to settle on the other side. Negotiating with an employee who cannot authorize a refund is unproductive.

Mediation Preparation:

• Prepare a mediation brief (2-5 pages) covering: factual background, your legal position, your key evidence, and your settlement range. Even if it is not required, submitting a brief helps the mediator prepare and signals your seriousness.
• Distinguish your interests from your positions. "I want a full refund" is your position. "I need $8,000 to hire a replacement contractor to fix this work" is your interest. Mediators ask about interests to find solutions that meet both parties' underlying needs.
• Bring decision-making authority. If you need to call a parent, partner, or insurance company before agreeing, the mediation will stall. Know your authority limits in advance and make sure the person with authority is either at the table or reachable by phone.
• Prepare to listen. Mediation requires the other side to feel heard. Plan to let them speak without interrupting. The mediator will expect this.
• Prepare your evidence package: organize chronologically, label each document, and bring enough copies for the mediator and the other party.
• Prepare your opening statement (2-3 minutes): what happened, what you lost, what you want. Focus on facts, not emotions.
• Think through contingency offers: if you cannot get your ideal outcome, what combinations of partial refund + repair + apology + future performance would you accept?

Arbitration Preparation:

• Read the arbitration organization's rules completely. AAA Commercial Rules, AAA Consumer Rules, and JAMS Comprehensive Rules have different discovery rights, timing requirements, and fee structures. The rules govern everything.
• File a proper demand for arbitration with the organization, including the contract clause relied upon, a statement of the claim, and the relief requested. Filing fees are due at filing.
• Participate in arbitrator selection carefully. Review each proposed arbitrator's CV, disclosed cases, and any available published awards. Strike arbitrators with potential conflicts. Rank your preferences.
• Conduct permitted discovery efficiently. Arbitration discovery is limited -- identify the 3-5 most critical documents you need from the other side and make targeted requests rather than broad discovery sweeps.
• Prepare as if for a bench trial: an opening statement, organized exhibits (numbered and labeled), witness testimony (sworn statement or live), and a closing argument or post-hearing brief.
• Consider whether an attorney is cost-justified. For claims over $25,000, the cost of an attorney ($5,000-$20,000) is often justified given that the award is binding and nearly unreviewable.
• Note the hearing format: in-person, telephonic, or document-only (on-the-papers) arbitration. For claims under $25,000, many organizations offer a documents-only process that is faster and cheaper.

Litigation Preparation:

• Confirm the correct court: small claims (under state threshold), limited jurisdiction court (state-specific threshold), or general jurisdiction court. Filing in the wrong court results in dismissal or transfer.
• Calculate the statute of limitations for your specific claim type in your state. Breach of written contract (typically 4-6 years in most states), breach of oral contract (typically 2-4 years), property damage (typically 3-4 years), personal injury (typically 2-3 years). If you are close to the deadline, file first and negotiate later.
• Gather and preserve evidence before filing: litigation can trigger evidence spoliation concerns on the other side, but your own records should be secured first.
• For small claims: complete the court's standard claim form, pay the filing fee ($30-$100), arrange service of process (certified mail or sheriff service depending on jurisdiction), and prepare for a hearing in 30-90 days.
• For larger claims: consult an attorney before filing. Errors in pleading, improper service, or waived affirmative defenses can permanently damage the case.

Step 6: Flag Statutes of Limitations and Contractual Deadlines

Deadlines kill valid claims. Surfacing them early is one of the most valuable things this skill can do.

• Statute of limitations by common claim type (these are general ranges -- verify in the user's state):

  • Breach of written contract: 4-6 years in most states (California: 4 years; New York: 6 years; Texas: 4 years; Florida: 5 years)
  • Breach of oral contract: 2-4 years in most states
  • Personal property damage (tort): 2-4 years in most states
  • Real property damage: 3-7 years depending on state
  • Personal injury: typically 2-3 years
  • EEOC discrimination charge (employment): 180 days (no state agency) or 300 days (with a state agency) from the discriminatory act -- this is administrative, not a lawsuit deadline
  • Mechanics lien (contractor disputes): 60-120 days from last day of work, depending on state
  • Consumer protection claims: varies widely (1-4 years depending on state statute)

• If the user is within 6 months of a potential deadline, flag it prominently and recommend they consult an attorney regardless of which resolution method they pursue. Litigation must be filed before the deadline, even if negotiation or mediation is ongoing.

• Contractual notice requirements are separate from statutes of limitations. A contract may require the claimant to provide written notice of a dispute within 30 days of discovery, or to submit to mediation within 60 days of the dispute arising, as a condition precedent to arbitration or litigation. Missing these contractual deadlines can waive the claim.

Step 7: Deliver the Structured Output and Actionable Next Steps

Produce the formatted analysis (see Output Format below) and close with specific next-step instructions:

• What should the user do today or this week?
• What documents should they gather before taking any action?
• Is legal consultation recommended given the complexity, value at stake, or mandatory clause involved?
• What is the consequence of inaction?

Tailor the urgency of next steps to the deadline analysis from Step 6. If there is a statute of limitations concern or contractual notice deadline looming, that is the most urgent action item regardless of which resolution method is recommended.

1. Always surface the mandatory clause issue first. If the user's contract has a mandatory arbitration or mediation clause, this controls their options. Never recommend litigation as the starting point without first asking whether the contract has a dispute resolution clause. The Federal Arbitration Act makes these clauses broadly enforceable and a user who files a lawsuit in court may have it dismissed and be sent to arbitration -- after wasting filing fees and time.

2. Never confuse binding and non-binding arbitration. The difference is fundamental to the user's decision. Binding arbitration is final with almost no appeal rights. Non-binding arbitration is advisory. A user who agrees to binding arbitration thinking they can appeal to a court will be deeply harmed by this misunderstanding. State the distinction explicitly and confirm the user understands it before recommending arbitration.

3. Always separate mediation's voluntary process from its binding outcome. Mediation is voluntary in the sense that no one forces a resolution on the parties -- the parties create their own agreement. But once a mediated settlement agreement is signed, it is a binding contract. Users sometimes believe they can "un-agree" after mediation. This is incorrect and must be explained clearly.

4. Never recommend a specific resolution amount or evaluate the merits of the user's legal claim. Telling a user "you have a strong case" or "you should accept $5,000" is legal advice that requires a licensed attorney. This skill explains processes, not outcomes. 5. Statutes of limitations are hard stops. If there is any indication the user is within 6 months of a potential limitations deadline, flag it in bold as the most urgent item regardless of which resolution method is recommended. A user who negotiates for 5 months and then files a day late loses their claim permanently. Always recommend consulting an attorney when limitations are a concern.

6. Do not frame litigation as categorically inferior to arbitration. For large claims, for cases requiring extensive discovery, for cases where the opposing party is a repeat institutional arbitration user (creating "repeat player" bias risk), and for cases involving novel legal questions, litigation may be the better choice. Arbitration is cheaper and faster but not always fairer or more appropriate.

7. Always explain the cost-to-recovery ratio explicitly. If the dispute involves $3,000 and arbitration with an attorney will cost $8,000, say so clearly.
