Process

Questions to Ask First

Core Negotiation Concepts
BATNA - Best Alternative to a Negotiated Agreement
Your BATNA is your power source. It is what you will do if this negotiation fails.
DEVELOPING YOUR BATNA:
1. List all alternatives if this deal falls through
2. Evaluate each alternative realistically (not optimistically)
3. Select the best alternative
4. Actively improve it before negotiating
EXAMPLE - Job Offer Negotiation:
BATNA: You have another offer at $135K, or you stay at current job ($125K)
This means: You should not accept less than $135K
Strengthening BATNA: Ask the other company to accelerate their timeline
KEY PRINCIPLE: Never reveal your BATNA unless it is very strong
Strong BATNA disclosure: "I have a competing offer at a higher number"
Weak BATNA concealment: Never say "I have no other options"
ZOPA - Zone of Possible Agreement
SELLER wants at least: $400,000 (reservation price)
BUYER will pay up to: $450,000 (reservation price)
ZOPA = $400,000 - $450,000

If there is NO overlap, there is no ZOPA and no deal is possible
without changing someone's reservation price.
Integrative vs. Distributive Negotiation
DISTRIBUTIVE (Zero-Sum / "Claiming Value"):
- Fixed pie: what one side gains, the other loses
- Used for: single-issue negotiations (price only)
- Tactics: anchoring, concession management, deadlines
- Risk: damaged relationships, suboptimal outcomes
INTEGRATIVE (Win-Win / "Creating Value"):
- Expanding the pie: find mutual gains
- Used for: multi-issue negotiations with ongoing relationships
- Tactics: interest exploration, package deals, tradeoffs
- Result: both sides get more of what they value most
THE CRITICAL INSIGHT: Most negotiations that appear distributive
actually have integrative potential when you explore interests.
EXAMPLE:
Distributive: Arguing over rent amount ($2000 vs $1800)
Integrative: Tenant gets $1850 rent + landlord gets 2-year lease
commitment + tenant handles lawn care
Both sides gained something they valued.
The Preparation Framework (ICON)
I - Interests (Not Positions)
POSITION: "I want $100,000 salary" (what they say)
INTEREST: "I need financial security for my family and recognition
of my expertise" (why they want it)
Ask yourself and anticipate for the other side:
- Why do they want what they're asking for?
- What underlying needs does their position serve?
- What are they afraid of?
- What constraints are they operating under?
MAP ALL INTERESTS:
Yours: [security, growth, flexibility, recognition]
Theirs: [cost control, retention, team equity, budget limits]
Shared: [long-term relationship, mutual success]
C - Criteria (Objective Standards)
Anchor your proposals to legitimate external standards:
- Market data: "Glassdoor shows the median for this role is..."
- Precedent: "Similar properties in this area sold for..."
- Industry standard: "Standard consulting rates for this expertise..."
- Legal/regulatory: "The statutory requirement is..."
- Expert opinion: "The appraiser valued it at..."
This depersonalizes the negotiation: you're not demanding,
you're referencing what's fair.
O - Options (Creative Solutions)
Before negotiating, brainstorm 10+ options:
- Different payment structures (lump sum vs. installments)
- Non-monetary trades (flexibility, resources, timeline)
- Contingent agreements ("If X happens, then Y")
- Package deals (bundle multiple issues)
- Process solutions (pilot programs, trial periods)
N - No-Agreement Alternatives (BATNA)
Complete the preparation by explicitly defining:
- Your BATNA (best alternative)
- Your reservation price (walk-away point)
- Your aspiration point (ideal outcome)
- Their likely BATNA (to estimate their flexibility)
Empathic Negotiation Techniques
The techniques below are widely used in modern negotiation practice. Several were popularized by former FBI hostage negotiator Chris Voss in Never Split the Difference. For his complete system, see that book. The underlying principles draw from active listening research, behavioral psychology, and conflict resolution practice.
Mirroring (Repetition)
Repeat the last 1-3 critical words of what the other person said, with a curious tone. This simple technique encourages them to elaborate without you having to ask direct questions.
Example: They say "We just can't go above the budget ceiling this quarter." You respond: "The budget ceiling this quarter?" and then stay silent. They will almost always elaborate with more information.
Labeling (Naming Emotions)
Identify and name the emotion or dynamic you observe, using phrases like "It seems like..." or "It sounds like..." This validates the other person's experience and often causes them to open up about their underlying constraints.
Example: "It seems like this number is creating some real tension for you." Naming a negative emotion often reduces its intensity. Naming a positive dynamic reinforces it.
Open-Ended "How" and "What" Questions
Use open-ended questions to shift the problem-solving burden to the other side while maintaining a collaborative tone.
Useful questions:
- "How am I supposed to do that?" (instead of a flat "no")
- "What would it take to make this work?"
- "What is the biggest challenge you face here?"
- "What happens if we don't reach an agreement?"
Avoid "why" questions -- they tend to make people defensive. Instead of "Why is that your policy?" try "What makes that policy important to your organization?"
Preemptive Objection Acknowledgment
Before making a difficult ask, proactively acknowledge every negative perception the other side might have. This takes the sting out of objections before they are voiced and demonstrates empathy.
Example: "You might be thinking I'm being unreasonable. It may seem like I don't understand your constraints. The reason I'm asking for this is..."
Anchoring Strategy
First-Offer Advantage
WHEN TO ANCHOR (make the first offer):
- When you have good information about the range
- When you can justify your number with objective criteria
- When you want to set the frame for the negotiation
WHEN TO LET THEM ANCHOR:
- When you have very little information about their range
- When they might offer more than you would have asked for
- When the power dynamic strongly favors them
ANCHORING TECHNIQUE:
1. Set an ambitious but defensible anchor
2. Immediately justify it with objective criteria
3. Present it confidently as a reasonable starting point
"Based on the comparable sales data, the market analysis, and the
property's unique features, we're listing at $525,000. Here's
the comp analysis showing how we arrived at that figure."
Responding to Their Anchor
NEVER accept or counter immediately. Instead:
1. ACKNOWLEDGE without validating:
"I appreciate you sharing your starting point."
2. REFRAME:
"Let me share a different way to look at this..."
3. COUNTER-ANCHOR with justification:
"Based on my research, a more appropriate range would be..."
DANGER: If you don't counter-anchor, their number becomes the
gravitational center of the negotiation.
Concession Management
The Rule of Diminishing Concessions
Never make equal concessions. Each should be smaller than the last.
WRONG: $100K -> $95K -> $90K -> $85K (Equal $5K steps)
Signal: "I'll keep dropping by $5K"
RIGHT: $100K -> $95K -> $93K -> $92.5K (Decreasing steps)
Signal: "I'm approaching my limit"
PRINCIPLES:
- Never concede without getting something in return
- Always explain WHY you're conceding: "I can move on price if
you can commit to a longer contract term"
- Label your concessions as significant even when they're small
- Track all concessions (yours and theirs) in writing
Context-Specific Negotiation
Real Estate
BUYER STRATEGIES:
- Get pre-approved (shows seriousness, strengthens position)
- Research days-on-market (long listing = motivated seller)
- Identify seller motivation (relocation, divorce, financial pressure)
- Use inspection results as negotiation leverage post-offer
- Escalation clause: "We offer $X, but will beat any offer up to $Y"
SELLER STRATEGIES:
- Create competition (multiple showing windows, offer deadline)
- Stage the emotional experience (not just the property)
- Price strategically (slightly below market can trigger bidding wars)
- Respond to lowball offers with data, not emotion
Business Deals and Partnerships
KEY VARIABLES TO NEGOTIATE:
- Equity split and vesting schedules
- Decision-making authority and governance
- IP ownership and licensing
- Non-compete and non-solicitation terms
- Exit mechanisms and buyout provisions
- Revenue sharing and profit distribution
- Roles, responsibilities, and time commitments
FRAMEWORK: Start with interests, build term sheet, then lawyer up
(Never start with lawyers -- it sets an adversarial tone)
Salary and Compensation
PREPARATION:
1. Research market rate: Glassdoor, Levels.fyi, Payscale, LinkedIn
2. Document your value: quantified achievements, unique skills
3. Identify your full compensation package: base, bonus, equity,
benefits, flexibility, title, PTO, development budget
4. Know your BATNA: other offers, current job value
THE CONVERSATION:
"Based on my research into market rates for this role and my
track record of [specific achievements], I'm targeting a total
compensation of $X. Here's how I arrived at that number..."
IF THEY SAY "THAT'S ABOVE OUR RANGE":
"I understand budget constraints. What flexibility exists in
other parts of the package -- signing bonus, equity, review
timeline, or additional PTO?"
Multi-Party Negotiation
ADDITIONAL COMPLEXITY:
- Coalitions form and shift
- Multiple BATNAs interact
- Communication channels multiply
- Interests may align on some issues, conflict on others
STRATEGIES:
1. Map all parties' interests before the group session
2. Build bilateral relationships first, then convene
3. Identify potential coalitions and blocking coalitions
4. Use a single-text procedure: draft one proposal, iterate
5. Establish process agreements before substantive negotiation
6. Manage the agenda -- issue sequencing matters enormously
Cultural Considerations
RELATIONSHIP-FIRST CULTURES (China, Japan, Middle East, Latin America):
- Invest time in relationship building before business
- Expect longer timelines and multiple meetings
- Pay attention to hierarchy and face-saving
- Written contracts matter less than trust
DEAL-FIRST CULTURES (US, Germany, Scandinavia):
- Get to business relatively quickly
- Rely on explicit written agreements
- Directness is expected and appreciated
- Individual decision-making authority is common

Exercise 1: BATNA Strengthening
For your next negotiation, list 5 alternatives. Actively take steps to improve your best alternative before the negotiation begins.
Exercise 2: Interest Mapping
Take a current negotiation. Write your positions, then dig 3 levels deep into WHY for each. Do the same from the other side's perspective.
Exercise 3: Mirroring Practice
In your next 5 conversations, practice mirroring the last 1-3 words and observe how people naturally elaborate. Note what you learn.
Exercise 4: Anchoring Drill
Pick a scenario (buying a used car). Research the fair range, then practice delivering your anchor with justification until it feels natural and confident.
Exercise 5: Post-Negotiation Review
After every negotiation, document: What was my BATNA? What was theirs? Where was the ZOPA? What worked? What would I do differently?
Ethical Boundaries
LEGITIMATE TACTICS:
- Strategic information sharing (timing, framing)
- Anchoring with justified numbers
- Leveraging genuine alternatives
- Creative option generation
- Persuasive framing of proposals
UNETHICAL TACTICS (never use, always detect):
- Lying about facts or alternatives
- Fabricating competing offers
- Making promises you won't keep
- Exploiting someone's emotional distress
- Bait and switch after agreement
- Threatening personal harm (vs. legitimate consequences)
IF THEY USE UNETHICAL TACTICS:
1. Name the behavior calmly
2. Restate your commitment to fair dealing
3. Reconsider whether this is a party worth dealing with
4. Document everything

Deliver the response as a structured document with clear headings and actionable content. Use tables for comparisons, numbered lists for sequential steps, and bullet points for options. Include specific examples where applicable.
