1. Subject-matter triage

• Treat the package as a remedies-adequacy review for an antitrust divestiture, not a generic transaction memo.
• Separate the analysis by remedy mechanic: divested assets, buyer qualifications, transition support, IP/supply rights, restrictive covenants, and any fallbacks or contingent divestitures.
• If the package contains multiple proposed buyer options, analyze each option separately before comparing them.
• If the source set includes only one proposed buyer or one remedy path, say so expressly and analyze that single path on its own terms.

2. Failure modes the skill is correcting

• The memo spots a crown jewel concept but does not test whether it is aimed at the competitively critical asset set the agencies would expect, or whether the timing mechanics create real pressure.
• The memo references buyer viability in the abstract but does not test whether the buyer can operate independently from closing, including financing, working capital, customer attrition, and operational dependencies.
• The memo notes contract or regulatory friction but does not translate it into a concrete barrier to immediate competitive entry.
• The memo mentions transition support, IP, or supply arrangements but does not test whether they are sufficient to preserve an independent business on day one.
• The memo identifies issues descriptively but stops short of tying them to scale, interacting provisions, and downstream consequences.
• The memo leaves recommendations implicit instead of stating what should be changed, by whom, and by when.

3. Legal frameworks / domain conventions that apply

• Buyer viability is assessed against ordinary antitrust remedy principles reflected in DOJ and FTC merger-remedy practice: the buyer must be credible, financially capable, and operationally able to compete as a standalone business.
• Financial viability analysis should consider leverage at close, projected cash flow, access to working capital, and whether the remedy depends on continuing support from the seller beyond a short transition period.
• Customer change-of-control rights are a standard diligence issue in divestiture reviews: if key contracts can terminate or be renegotiated on transfer, the exposure must be treated as revenue at risk.

4. Analytical scaffolds

1. Build an issue register for each remedy component.

   • State the issue.
   • Identify the controlling antitrust or transactional standard.

   • Quantify the scale of the issue from the record: financing burden, revenue exposure, contract count, timing gap, dependency level, or asset coverage.

   • State the downstream consequence for the client: agency rejection risk, delayed closing, weakened buyer, operational interruption, or enforcement exposure.

2. Assess buyer viability as a standalone competitor.

   • Examine purchase price funding, leverage, committed financing, working capital, and post-close capital needs.
   • Test whether projected performance depends on assumptions that are inconsistent with the remedy being self-sustaining.
   • Flag any gap where the buyer’s ability to run the business depends on seller concessions, parent support, or later approvals not yet secured.

3. Review contract and customer exposure.

   • Identify material customer agreements with transfer, consent, termination, or price-reset rights triggered by a change of control.
   • Separate customer concentration risk from pure legal right risk.
   • For each material exposure, estimate the amount of revenue or business volume at stake using the source data available; do not invent unsupported arithmetic.
   • Note whether any mitigation is contractual, commercial, or operational, and whether it is actually documented in the package.

4. Review regulatory access and certification timing.

   • Identify any license, certification, filing, approval, or operational qualification the buyer does not yet hold.
   • Compare the expected time to obtain it with the remedy closing schedule and any interim operating obligation.
   • Explain whether the gap creates a market-access barrier or merely a manageable onboarding lag.

5. Review IP, technology, and data rights.

   • Test whether the transfer includes all rights needed to operate and compete independently.
   • Distinguish outright assignment from limited license, field-limited license, revocable license, and time-limited transition right.
   • If the core business depends on excluded rights, explain why that undermines independence and whether the cure is assignment, broader license, escrow, or additional transition support.

6. Review supply and transition arrangements.

   • Test whether any mandatory supply agreement, transition services agreement, tolling, or manufacturing support is mandatory, adequately priced, and long enough to bridge separation.
   • Flag dependence that merely postpones, rather than solves, independence.
   • Check whether termination rights, volume limits, quality constraints, or pricing resets make the support unreliable.

7. Review structural pressure devices.

   • Evaluate whether a fallback package, alternate divestiture, or crown jewel feature actually increases incentives to close the primary remedy.
   • Test whether the fallback package is tied to the highest-concentration or most competitively sensitive assets, not a peripheral set.
   • Check whether the trigger timing and consequences create real incremental pressure rather than a cosmetic backstop.

8. Review restrictive covenants.

   • Assess non-compete scope, duration, geography, and activity restrictions for overbreadth relative to the divested business.
   • Identify whether any non-solicit, non-disparagement, confidentiality, or standstill language is so broad that it impairs the buyer’s ability to compete.

9. Apply uniform severity scoring.

   • Use a stated ordinal scale and apply it consistently to every issue.
   • Reserve the top tier for issues likely to drive agency objection, rejection, or required rework.
   • Use lower tiers for negotiable issues, drafting gaps, or implementation ambiguities.

10. Close every issue with the full triad.

• Scale the issue to the source record.
• Cross-reference the interacting document or provision.
• State the practical consequence for the deal or remedy.

5. Vertical / structural / temporal relationships

• Treat remedy mechanics as layered: asset transfer, interim support, buyer qualifications, and fallbacks all interact; do not evaluate them in isolation.
• Track timing carefully: signing, interim operating period, closing, regulatory clearance, certification completion, transition expiration, and any fallback trigger may differ.
• If a provision solves one problem only after a delay, state the gap period and why it matters.
• If multiple provisions address the same risk, explain whether they are cumulative, duplicative, or inconsistent.
• If the package includes schedules that govern the economics or operations of the divestiture, reconcile the main text against those schedules before drawing conclusions.

6. Output structure conventions

• Produce a lawyerly issues memorandum with a short executive summary, a severity legend, and a sequenced issue register.
• For each issue, use the same compact template:

• Include a distinct section for provisions that appear facially standard and do not raise a concern, if any.

• End with an explicit Recommended Actions section that lists imperative next steps, the responsible role, and a timing anchor tied to the transaction or regulatory milestone.
• Keep recommendations concrete and action-oriented: revise, confirm, obtain, expand, assign, extend, disclose, quantify, or negotiate.
• Do not use the exact rubric section headings; use conventional memorandum headings instead.
