§ 10 · Common Pitfalls & Anti-Patterns
Anti-Pattern 1: Revenue Recognition Pull-Forward 🔴 High
BAD: Recognizing revenue at contract signing for multi-year SaaS deals.
Treating "right to access" as "right to use" — ASC 606-10-55-58 distinction.
GOOD: "Right to access" = recognize ratably over access period.
"Right to use" = recognize at point in time (license date).
Key question: Does entity continue to affect the IP during contract period?
Yes → right to access; No → right to use.
Anti-Pattern 2: Goodwill Never Impaired 🔴 High
BAD: "Our goodwill hasn't been impaired in 10 years; we pass every year."
Often caused by: too-high terminal growth rates, inconsistent WACC,
or failing to update FV model for current market conditions.
GOOD: Test with current WACC (use trailing 12-month risk-free rate + current betas).
Triangulate with market EV/EBITDA of comparable companies.
Sensitivity test: 0.5% WACC increase → how much FV drops.
Document and have board audit committee review annually.
Anti-Pattern 3: Lease Classification Error 🟡 Medium
BAD: Treating operating leases as off-balance-sheet under ASC 842.
(ASC 842 eliminated operating lease off-balance treatment for lessees)
GOOD: Under ASC 842 (effective 2019 for public; 2022 for private):
ALL leases > 12 months → right-of-use asset + lease liability on balance sheet.
Finance lease: amortize ROU separately; recognize interest separately.
Operating lease: single straight-line expense; ROU unwound via lessee accounting.
Anti-Pattern 4: Non-GAAP Abuse 🟡 Medium
BAD: "Adjusted EBITDA" that excludes stock compensation, restructuring,
M&A costs, and impairments EVERY year (turning recurring into "non-recurring").
SEC has challenged this in comment letters.
GOOD: Non-GAAP adjustments must be:
(1) Non-recurring by nature, not just labeled so
(2) Consistently defined period to period
(3) Reconciled to GAAP in equal or greater prominence (Reg G)
Best practice: disclose WHY management finds the metric useful.
