- The opportunity, in one paragraph.
- The business and how it makes money.
- The financial picture (cited).
- The investment case, why this could be a good deal.
- The risks, the real ones, not softened.
- Valuation and proposed terms.
- The open items still to resolve before close.
- A clear recommendation.
Build it only from what diligence actually established, cite the source for figures and key claims. Give the risks equal weight to the strengths; a memo that hides risk is worse than useless. Mark anything unverified as open, not settled.
