SKILL: Official Contest Rules & Sweepstakes Law
Purpose
Draft legally compliant official rules for paid skill competitions, sweepstakes, and prize contests. Covers federal requirements, state registration mandates (New York, Florida), no-purchase-necessary alternative entry, void-where-prohibited language, and prize notification procedures.
Risk Level
🟡 Medium — Missing or defective contest rules are a direct FTC and state AG enforcement trigger. New York and Florida require advance registration for large-prize contests. Getting this wrong exposes the platform to injunctions, fines, and prize clawback liability.
Three Types of Promotions — Know the Difference
1. Sweepstakes (Chance + Prize, No Consideration)
- Winners selected by random chance
- No purchase required — legal requirement to remove "consideration" element
- No skill involved
- Lowest regulatory burden
- FTC guidelines apply; state registration may apply
2. Contest (Skill + Prize + Consideration)
- Winners selected based on skill/merit
- Entry fee permitted because skill (not chance) determines outcome
- Agent Arena / Bouts model
- Higher regulatory scrutiny than sweepstakes
- Must be genuinely skill-based (not disguised lottery)
3. Lottery (Chance + Prize + Consideration)
- All three elements present
- ILLEGAL unless operated by state lottery authority
- If your contest has significant chance element + entry fee = lottery = illegal
- Avoid at all costs
Federal Requirements
FTC Guidelines for Promotional Marketing
- No deceptive practices in contest advertising (FTC Act § 5)
- Must clearly disclose: odds of winning, entry requirements, prize description
- Cannot require purchase for sweepstakes (would create lottery)
- Must honor stated prize awards
- Must not discriminate in prize awards
CAN-SPAM / TCPA
- Post-contest follow-up emails require CAN-SPAM compliance
- Contest entry cannot be conditioned on marketing consent
- Notification of winning must include opt-out mechanism
COPPA
- Cannot collect information from participants under 13
- Age gate must precede any data collection
- If any chance under-13 users could enter: COPPA compliance required in data practices
State Registration Requirements
New York (CRITICAL)
Law: NY Gen. Bus. Law § 369-e; NY Penal Law § 225 Registration required when:
- Prize value exceeds $5,000 total for a single promotion
- Must register with NY Secretary of State before promotion begins
Registration requirements:
- Form: NY Contest/Sweepstakes registration form
- Filing fee: $50
- Bond requirement: If prize > $5,000, must post bond equal to prize value OR file affidavit of prize award escrow
- Official rules must be filed with registration
- Timeline: File 30 days before promotion begins

Florida (CRITICAL)
Law: Florida Statutes § 849.094 (game promotions) Registration required when:

Registration requirements:
- File: "Game Promotion" registration form
- Fee: $100
- Surety bond: Equal to prize pool OR trust account holding prize funds
- Official rules must be posted
- Timeline: File before launch

Other States with Requirements
- Rhode Island: Registration if prize > $500 for contests of chance

Official Contest Rules — Required Elements
Every paid skill competition must have published Official Rules containing:
1. Sponsor/Operator Identification
Sponsor: [Company Legal Name], [Address], [State of Incorporation]
Must be the actual legal entity operating the contest, not just brand name.
2. Eligibility
Open to legal residents of the United States (except where prohibited —
see "Void Where Prohibited" below), 18 years of age or older as of date
of entry. Employees of Sponsor and their immediate family members are not eligible.
Must include:
- Age requirement (18+ minimum; 21+ if any state requires)
- Jurisdiction exclusions (list blocked states explicitly — see
blocked-jurisdiction-listskill) - Conflict of interest exclusions (employees, contractors, their families)
- Tax ID requirement for winners (if prizes are reportable)
3. Contest Period
Contest begins: [Date/Time] [Timezone]

Must use specific times with timezone. "Until entries close" is insufficient.
4. How to Enter

5. No-Purchase Necessary (Sweepstakes Only)
For sweepstakes (chance-based): Must provide free alternative entry method

Handwritten entries only. One free entry per person per day.
For paid skill competitions: No-purchase alternative entry is generally NOT required because entry fee is for a skill contest, not a lottery. However, including it reduces regulatory risk in ambiguous jurisdictions.

Critical for Agent Arena: Must specify that AI agent performance is evaluated by defined, objective criteria. Subjective criteria = harder to defend as skill game.
8. Odds of Winning
Odds of winning depend on the number of eligible entries received and the
relative skill demonstrated by each entry.
For skill games: Odds depend on skill, not chance — this language is appropriate.
9. Prize Award Procedures
Potential winners will be notified by [email/phone] within [X] days of
contest close. Potential winner must respond within [X] days of notification
or prize will be forfeited.
Winner must complete a W-9 (US) or W-8BEN (international) before prize payment.
Prizes paid within [X] days of winner verification.
10. Tax Obligations
All federal, state, and local taxes on prizes are the sole responsibility
of the winner. Sponsor will issue IRS Form 1099-MISC for prizes valued at
$600 or more in a calendar year. Winners may be required to provide a valid
Social Security Number or Tax Identification Number as a condition of prize receipt.
11. General Conditions
Sponsor reserves the right to modify, suspend, or terminate this contest
at any time for any reason. Entries that are fraudulent, mechanically reproduced,
or submitted through automated means are void.
By participating, entrants agree to be bound by these Official Rules and
Sponsor's decisions, which are final.
12. Dispute Resolution
All disputes arising from this Contest shall be resolved by binding
arbitration under AAA rules, conducted in [State], under the laws of [State].
Class action waiver: Entrants waive the right to participate in class action proceedings.
13. Void Where Prohibited
THIS CONTEST IS VOID WHERE PROHIBITED OR RESTRICTED BY LAW.
Not available to residents of: Washington, Arizona, Louisiana, Montana, Idaho,

- AI agent submission requirements (format, runtime, allowed libraries)

Iowa DIA Registration
Iowa Code § 99B.5(2): Register with Iowa DIA if any single contest's prize > $500
- This is an Iowa-specific requirement Nick must comply with as Iowa operator
- File with Iowa DIA before first paid contest regardless of prize size (since prizes will likely exceed $500)
