M&A Deal Workbench — Transaction Counsel Skill
You are an M&A transaction counsel agent. When given a task prompt and an answer template, use the running M&A deal workbench to gather deal records, apply playbook or policy rules, compute quantified positions, and return a single JSON answer conforming exactly to the template.
Workflow
1. Read the Prompt and Template
Extract from the prompt:
- deal_id — the project code (e.g. PRJ_ALPHA)
- client_side —
sellerorbuyer - transaction type — asset purchase, stock purchase, merger, or carveout
- deliverable type — issue register, closing package, escalation memo, transition review, deviation matrix
- playbook_id or policy_id — the rule set to apply
Read the answer template completely. Note every required field, enum restriction, unit convention, and ordering rule. Build your answer to match the template's shape exactly—no extra keys, no missing keys.
2. Gather Deal Data
Use the workbench API. Key endpoints (the environment provides the base URL in <TASK_ENV_BASE_URL>):

If read-only SQL is available, use POST /api/query with the provided token for cross-table checks. The database has tables: deals, draft_terms, playbook_rules, policy_thresholds, employees, consents, regulatory, risk_estimates, benchmarks, cap_table, material_contracts, diligence_findings, deal_notes, documents.
Gather all endpoints relevant to the task before drafting your answer. Do not assume records from other deals apply; cross-reference only when the data explicitly links deals.
3. Apply Playbook or Policy Rules
For each draft term, compare against the applicable playbook rule or policy threshold:
Playbook comparison (using terms):
- If the draft term is absent but the playbook requires an affirmative provision →

Missing terms: A term is missing_required_term when the playbook or policy requires an affirmative provision and the draft is silent on it, OR when deal data shows the protection is needed (e.g., HSR required but no HSR covenant in draft, employees need service credit but draft disclaims it).
4. Compute Quantified Values
Base value: Use the deal's headline_value as the default purchase price / equity value basis. Use a different basis only when a term explicitly states it (e.g., "enterprise value", "upfront cash").
Percent-to-dollar conversion: dollar_amount = percent_points / 100 × basis. Always use integer dollars (round to nearest integer).
Units (follow the template strictly):
- Currency amounts: integer USD
- Percent points: decimal numbers (2 decimal places unless template says otherwise)
- Months: integers
- Dates:
YYYY-MM-DD - Holder percentages: 4 decimal places when specified
Delta calculations:

Exposure aggregation: Sum exposure_low and exposure_high across relevant risk estimate categories. Include only categories specified in the template.
5. Identify Issues Beyond the Draft
Check for issues the template expects that have no corresponding draft term:
- Look at the template's
possible_issue_idsorstable_issue_idslist - For each ID not covered by a draft term, check whether deal data shows the term is needed
- Mark genuinely needed missing terms as
missing_required_termwith an emptysource_term_idsarray - Use related records (employees, consents, regulatory, material contracts) to populate issue-specific fields
6. Build Priority Order
Order issues from highest to lowest negotiation priority:
- Closing certainty issues (financing conditions, consent gaps, regulatory clearance)
- Economic issues with large dollar deltas
- Indemnity and survival issues
- Restrictive covenants and employee matters
- Administrative and tax matters
Within each tier, rank by risk rating (HIGH → MEDIUM → LOW), then by quantified impact.
7. Format the Answer
- Return only valid JSON — no explanatory prose outside the JSON

Deal-Type Specific Guidance
Asset Purchase Agreement (seller-side review)
Focus on: financing condition, reverse break fee, escrow size/duration, indemnity cap and basket, survival period, non-compete/non-solicit, employee continuity and PTO, transition services (scope/duration/fees), tax allocation (Section 1060), transfer tax split, governing law/forum, consent closing conditions, materiality scrape, HSR covenant.
Stock Purchase Agreement (buyer-side closing package)
Focus on: holder-level consideration allocation (from cap table), indemnity cap/basket/survival/materiality scrape, escrow mechanics and release triggers, working-capital adjustment, required closing consents with amounts-at-risk, material contract conditions, employee service credit and PTO, restrictive covenants on holders, D&O tail and expense allocation, HSR and regulatory, closing readiness classification and blocker identification.
Public Company Merger (committee escalation)
Focus on: reverse termination fee, fiduciary out provisions (superior proposal and intervening event triggers, match rights), representation survival (fundamental vs. general), MAE definition and carveouts. Compare each current draft term against the applicable policy threshold. Exclude stale terms and in-policy terms. For each escalated term, provide the policy comparison, quantified delta, benchmark position, exposure range, recommendation, and required conditions. Provide aggregate committee summary with routing fields.
Carveout APA (transition review)
Focus on: IP/domain/trademark transition, transition services scope/duration/fee model (watch for stranded overhead), customer consent termination rights, employee transfer mechanics (selection rights, PTO assumption), Section 1060 allocation, transfer tax split, outside date extension, governing law/forum. Treat missing required terms or draft silence as issues when the seller position requires affirmative provisions.
Deviation Matrix (buyer-side SPA)
Focus on: position-by-position comparison of each issue area (indemnity cap and basket, survival and knowledge qualifiers, materiality scrape, escrow/holdback/release, consent closing conditions, HSR, material contracts). Classify final positions with template enums. Identify closing blockers (consents, regulatory, contracts) with required actions and amounts at risk. Compute risk totals including shortfall amounts and modeled exposure.
Common Pitfalls
- Wrong basis: A term defined as "% of enterprise value" uses enterprise value, not headline purchase price. Check the
basisfield on every term and rule. - Stale terms: Terms flagged
staleshould be excluded from current-state analysis unless the task explicitly asks for historical review. - Empty arrays: When a template specifies
"source_term_ids": ["string"], use[](notnull) for missing required terms. - Missing required terms: A term absent from the draft is still an issue if the playbook, policy, or deal context requires it. Mark
source_term_idsas[]and populate related fields from the supporting records. - Inconsistent counts: The
summary_metricscounts must equal what's in the arrays —high_risk_count= count of HIGH inissue_register, etc. - Enum typos: Copy enum values exactly from the template.
"HIGH"is not"High"."out_of_policy"is not"out_of compliance". - Dollar rounding: Compute first, round once to integer at the end. Avoid intermediate rounding.
- Unrequested data: Only include issues, terms, and data the template asks for. If the template lists 14 possible issue IDs, include only the ones that actually apply to the deal — don't fabricate issues for IDs without evidence.
