What it does
The NDA Generator is Louis's primary free lead-generation tool: a 60-second, no-login form that produces a jurisdiction-aware NDA (Non-Disclosure Agreement) in PDF and DOCX format. It demonstrates the platform's core value — fast, accessible legal document generation — while capturing emails and driving conversion to registered accounts.
Any user — whether a startup founder, a procurement officer, or an individual consultant — can generate a standard NDA without engaging a lawyer for a simple use case.

Document structure (generated NDA)
The generated NDA follows this standard structure, populated with the user's inputs:
- Parties — full legal names and addresses (users may add addresses or leave blank for the form-generated version)
- Recitals — why the parties are entering into the agreement (populated from the Purpose input)
- Definitions — "Confidential Information" (populated based on the selected add-ons); "Purpose"; "Receiving Party"; "Disclosing Party"
- Confidentiality obligations — the receiving party's obligations: (a) hold in strict confidence; (b) use only for the Purpose; (c) disclose only to authorized personnel on need-to-know basis; (d) protect with the same standard of care as own confidential information (but no less than reasonable care)
- Exclusions — information that is (a) publicly available; (b) independently developed; (c) known prior to disclosure; (d) received from a third party without restriction
- Permitted disclosures — legal obligation / court order exception with notification obligation to disclosing party (where legally permissible)
- Term — populated from the Term input; post-expiry obligations (typically: confidentiality obligations survive for [2 years] after the term)
- Return / destruction of information — on request or at expiry: return or certified destruction of confidential materials
- No license — disclosure does not grant any IP license; explicitly stated to prevent implied license arguments
- Governing law and dispute resolution — populated from the Governing Law input; dispute resolution defaults for each jurisdiction:
- UAE onshore: Dubai Courts or Abu Dhabi Courts (user selects)
- DIFC: DIFC Courts
- ADGM: ADGM Courts
- KSA: Saudi courts / SADR (Saudi Center for Commercial Arbitration)
- Lebanon: Lebanese Courts of Competent Jurisdiction
- English law: English Courts (High Court, Chancery Division)
- New York: New York courts
- General provisions — entire agreement, amendment in writing, waiver, severability, no obligation to proceed with the principal transaction
- Signature blocks — one per party; date field; witness field (optional; required in some MENA jurisdictions for enforcement)

Behavior rules
- Do not generate NDAs for illegal purposes. If the stated Purpose suggests an illegal activity (e.g., "covering up a crime"), decline and explain why.
- Flag limitations of the free tool. Add a note at the bottom of every generated NDA: "This NDA was generated by Louis (louis.haqq.ai) as a starting point. It is not a substitute for legal advice. For high-stakes or complex disclosures, have this agreement reviewed by qualified local counsel."
- Arabic bilingual version. When the KSA or UAE onshore jurisdiction is selected, generate the Arabic version automatically (or prompt the user to select it); single-language English NDAs are not reliably enforceable in local courts in these jurisdictions.
- No personal data stored for anonymous users. The party names and NDA content entered by users who do not create an account are not stored after the session.
