Workflow 1: Planning the Campaign Before You Open

The 5-Week Raise Architecture

Pre-launch (2 weeks before Week 1)

Before you open a single conversation, have ready:

• Final pitch deck (version-controlled, no typos)
• 1-page executive summary for email outreach
• Data room live (cap table, financials, incorporation, key contracts)
• Investor CRM built with 50+ targets tiered A/B/C
• All warm intro paths confirmed (not "I'll ask someone" — confirmed)
• Raise terms decided: amount, instrument, cap
• 3-5 references pre-briefed

The Week-by-Week Campaign Plan

Week 1: First meetings only

Goal: 8-12 first meetings with Tier A investors in 5 business days.

Rules for Week 1:

• Schedule ALL first meetings in a 5-day window, not spread across 2-3 weeks
• Every meeting ends with: "We are having conversations with a handful of others this week and plan to close in the next 4 weeks."
• Do NOT follow up on any meetings this week — the goal is volume of first impressions
• After each meeting, send a 3-sentence email within 24 hours: what they said they cared about, your answer to it, and one piece of evidence

Week 2: Continue first meetings, note signals

Keep taking first meetings from your B-tier list. Start identifying which Week 1 meetings are warm (they asked follow-up questions, responded quickly, scheduled next steps).

Signal mapping:

• Hot: They asked for the data room and proposed a follow-up within days
• Warm: They asked thoughtful questions and said they would be in touch
• Cold: Polite but no specific next steps proposed

Week 3: Second meetings and partner meetings

Now you are in follow-up mode. For every hot/warm signal from Weeks 1-2:

• Schedule partner meetings (the full partnership, not just your champion)
• Send the data room
• Begin reference calls

The urgency message in Week 3: "We have strong interest from a few others and are hoping to close the round in the next 2 weeks. I want to make sure you have everything you need."

Week 4: First term sheet triggers the cascade

The moment you receive your first term sheet (even a verbal), contact every other active conversation immediately:

"Hey [Name] — We just received a term sheet and are planning to close the round in the next 10 days. I know we have been in conversation and I wanted to give you the chance to participate before we close. Are you in?"

This is the cascade. The second term sheet always comes faster than the first. The third comes faster still.

Week 5-6: Close

Counter-sign, collect wire instructions, close. Send a gracious pass email to everyone who did not commit: "We closed the round — thank you for your time and consideration. We will be raising again in 18 months and would love to stay in touch."

Workflow 2: You Are Mid-Raise — Managing Active Pipeline

STOPPING POINT 3 — What is your pipeline looking like?

1. 2-3 hot conversations, others are cold — I need to accelerate the hot ones and create competition
2. Everyone is lukewarm, nobody is moving — I need to diagnose the stall
3. I have one verbal yes, waiting for paperwork — I need to use this to close the rest
4. Multiple interested parties but nobody will lead — No one wants to be first
5. Getting consistent feedback about a specific concern — The same objection keeps coming up

Diagnosing a Stalled Raise

If meetings are happening but nothing is closing after 4+ weeks, the problem is usually one of five things:

Problem 1: Wrong investors for your stage Are you pitching multi-stage funds (a16z, Sequoia, Benchmark) at seed? These firms rarely lead seed rounds for first-time founders. Match your investor tier to your stage.

Problem 2: The narrative has a hole If you are consistently getting the same objection (market size, team, traction), the pitch has a structural problem. What do investors keep asking about?

Problem 3: No urgency signal If you have been raising for 8 weeks and investors know you have no term sheet, they feel no pressure to move. You need a manufactured deadline: "We are closing this round on [specific date]. I wanted to give you the chance to participate."

Problem 4: No lead, so followers won't commit Many seed-stage angels and smaller funds will not commit until there is a lead investor. If you are struggling to find a lead, go to operator angels first — they do not need someone else to go first.

Problem 5: Your ask is unclear "We are raising money" is not an ask. "We are raising $1.5M on a $7M post-money SAFE. We have $600K committed and are looking for 2-3 more investors in the $100-250K range" is an ask.

Workflow 3: One Term Sheet, Need More

This is the best possible position to be in. Use it correctly.

The verbal term sheet play:

You do not need a signed term sheet to create urgency — a verbal is enough. The moment you have a credible verbal:

1. Call every active conversation within 24 hours. Do not email — call. "I wanted to reach out personally because we received a term sheet this morning and we are planning to close in 10 days. I wanted to give you first right of refusal before we close."

2. Set a real deadline. "We are counter-signing on [date + 10 days]." Put it in writing in your follow-up email.

3. Let the lead investor's brand do work. If your lead is a recognizable name or fund, mention it: "We have a term sheet from [X]. We are filling the rest of the round with operators and strategic angels."

4. Do NOT share the term sheet. Just confirm you have one. Sharing creates negotiation dynamics you do not want.

STOPPING POINT 4 — Who is your term sheet from?

1. A recognizable seed fund — Their brand will create credibility and pull others in
2. An angel or operator — Less brand leverage, but still creates real urgency
3. It is verbal only, not written — We need to get it in writing before using it publicly
