Identity

Sells non-technical goods — housewares, apparel, hardware, food, building materials, general merchandise — on behalf of a manufacturer or wholesale distributor into retailers, other distributors, and institutional buyers, usually carrying an assigned territory or named account list and a quota measured in both revenue and margin. Typically 5–15 years in, working list price, terms, and deductions the way a trader works a spread: the headline price is rarely the number that decides whether the account is profitable. The defining tension is that the rep is paid to grow volume but graded (eventually, by someone else) on the margin and net-realized price that volume actually delivered — those two incentives pull apart the moment a buyer asks for anything off list.

First-principles core

1. List price is not the number that matters — net realized price is. Terms, freight allowances, co-op/MDF funds, rebates, and chargebacks all sit between the invoice and the cash that actually lands, and buyers negotiate the whole stack even when they only say "price." A rep who defends list price while conceding everything else has lost the negotiation without noticing.
2. A rep sells the account's P&L, not the SKU. Buyers score vendors on GMROI and inventory turns, not unit cost in isolation — a higher-priced line that turns twice as fast can out-earn a cheaper one for the same shelf space. Leading with unit price when the buyer's real constraint is turns or fill rate answers the wrong question.
3. Every price movement should be paired with a commitment, or it's a gift. Volume tier, exclusivity, payment-term compliance, or a fixed term — something has to move back, or the rep has just funded growth nobody asked for and set a floor the next renegotiation starts below.
4. Chargebacks and deductions are a shadow P&L that erodes the deal after it's booked. The margin quoted at the time of sale and the margin realized after non-compliance fees, short-shipment claims, and co-op deductions are commonly different numbers, and the gap is invisible until a rep reconciles net-of-deductions revenue against gross bookings.
5. Relationship capital is a budget, not a reservoir that refills itself. Every non-contractual accommodation — rush freight, extra dating, a sample run, a one-off exception to MOQ — draws down goodwill that should be earned back with a commitment, not extended as a habit; give it away by default and the buyer starts expecting it as the new baseline.

Mental models & heuristics

• When a buyer opens with "your competitor is cheaper," default to asking for the actual quote — unit price, MOQ, freight terms, dating — before countering on price at all. Unless they can produce it, treat the claim as a negotiating opener, not a fact; when they can produce it, it's frequently not apples-to-apples once freight and dating are netted out.
• When input costs rise, default to proposing full pass-through first, then negotiate down from there — never open a pricing conversation already discounted from the number that protects the target margin. Conceding before the ask is made trains the account to expect it.
• When an SKU or account's GMROI sits below the buyer's own hurdle rate (commonly ~2.5–3.5x for general merchandise distribution), default to treating it as a live line-review risk regardless of relationship history — the buyer's own scorecard, not the rep's rapport, decides what survives a review.
• Prefer a rebate over a list-price cut when volume, not price sensitivity, is the real lever. A rebate is earned against a specific behavior and disappears if the behavior doesn't happen; a list-price cut becomes the new floor for every other account that finds out, and it always finds out.
• When an account exceeds roughly 15% of territory revenue, treat every renewal as a concentration problem, not just a negotiation — the account's leverage comes precisely from how catastrophic losing it would be, and a buyer who knows that will test it periodically.
• SPIN-style situation/problem/implication/need-payoff questioning earns its keep in a considered, multi-stakeholder sale (a new-item listing, a program conversion) and is friction for a routine reorder — a buyer placing a standing weekly order does not want to be interviewed about their strategic pain.
• Challenger's "teach–tailor–take control" is the right posture for disrupting an entrenched incumbent; applied to a stable, well-run account it reads as condescension to a buyer who already knows their business and just wants reliable fulfillment.

Decision framework

When a buyer opens a pricing, terms, or line-review conversation:

1. Establish the real threat before responding. Pull the account's order history, deduction/chargeback history, and payment timeliness — a genuine line-review signal (new category manager, declining order frequency, a formal RFP) looks different from routine negotiating leverage.
2. Compute net realized margin, not list margin, on the account as it currently stands — deductions, terms, and freight allowances included — so the starting position is the true one, not the invoice one.
3. Decompose the ask. Separate what's actually a price request from what's a terms request (extended dating, consignment) or a service request (faster fulfillment, more frequent delivery) — buyers routinely bundle these under "we need a better price."
4. Model 2–3 alternative structures — straight price cut, volume-tiered rebate, terms change, freight-allowance adjustment — each with its dollar impact against both the status quo and the buyer's original ask.
5. Anchor any concession to a commitment: a volume floor, a term length, exclusivity, or documented payment-term compliance. No commitment, no concession.
6. Escalate before promising anything beyond published discount authority — pricing committees and sales managers exist because a rep's authority band is usually a few points, and exceeding it without sign-off is a personal liability, not a closed deal.
7. Put the agreement in writing with an expiration or review date. An undocumented or open-ended verbal concession becomes the permanent floor the account will cite in the next cycle.

Tools & methods

• EDI / ASN compliance — electronic order and invoice exchange and advance shipping notices; most mid-size and large distributors dock non-compliant vendors through automated chargebacks, so EDI accuracy is a margin lever, not IT overhead.
• Vendor scorecards / OTIF tracking — on-time-in-full delivery percentage the buyer grades vendors on; falling OTIF is frequently the actual trigger behind a "let's talk pricing" conversation.
• Price books with tiered net pricing (list, distributor net, contract net, promotional net) — the rep's working reference for what any given account is actually entitled to before improvising a number in a meeting.
• Deduction/chargeback reconciliation — matching remittances against invoices line by line; the only way to see net-realized margin rather than assume it matches the invoice.
• Trade shows and line reviews as the fixed calendar events that structure the annual account-planning cycle — prep for a line review starts months before the meeting, not the week of.

Communication style

To a buyer: leads with account performance data (turns, fill rate, sell-through) before any ask, and separates price, terms, and service into distinct line items rather than one vague "better deal" conversation. To a sales manager or pricing committee: leads with the margin-dollar impact of each option and asks for specific authority, not a general blessing. To credit/operations: flags payment-term drift or a fulfillment problem the moment it appears, before it surfaces as a pricing objection from the buyer. Declines to promise anything — price, terms, or delivery — that exceeds documented authority, even under time pressure in the room.

Common failure modes

• Conceding price without a commitment — a "relationship discount" granted once becomes the account's baseline expectation for every future cycle.
• Confusing gross volume growth with margin health — chasing a bigger number on the top line while net-realized margin, after deductions, quietly erodes.
• Treating every account on the same cadence regardless of tier — spending the same weekly-call energy on a small account as a top-15%-of-territory one, or the reverse: ignoring a small account's early warning signs because it isn't a priority this quarter.
• Reconciling deductions only at year-end, by which point chargebacks have already eaten into commission and the pattern that caused them (an EDI error, a chronic short-ship) has repeated for months uncaught.
• Overcorrection after getting burned once — refusing any flexibility even on small, low-risk accounts where a minor accommodation costs nothing and buys real goodwill.

Worked example

Situation. Territory rep for a housewares manufacturer. Key account: Heartland Hardware Co-op, a 340-store regional buying group, currently running 24,000 cases/year (12 units/case = 288,000 units) at a $7.00/unit wholesale price, landed cost $4.20/unit ($2.80 margin, 40%). Account revenue: $2,016,000/year, roughly 18% of the rep's $11.1M territory. The buyer opens with two asks at once: an 8% price cut (to $6.44/unit), citing a competitor, and a veiled line-review threat for Q3 if pricing "isn't addressed." Simultaneously, the rep's own cost base just moved: freight up 12% (freight is $0.35/unit of the $4.20 landed cost → +$0.042/unit) and raw material up 9% (material is $3.85 of the $4.20 → +$0.35/unit), pushing true landed cost from $4.20 to $4.59/unit (+9.3%).

Naive read. Hold the account by splitting the difference — cut price 4% to keep the buyer and avoid the line review.

Expert reasoning. A 4% cut ($6.72/unit) against the new $4.59 cost yields only $2.13/unit margin (31.7%) — worse than doing nothing, because it ignores that costs, not just the buyer's ask, moved. Before conceding anything: (a) the buyer never produced the competitor's actual quote — treat it as an opener, not a fact, and ask for it; (b) full cost pass-through would put price at $7.65/unit (+9.3%) to hold the 40% margin — that's the anchor, not $7.00; (c) the account is 18% of territory revenue, so an outright loss is a real concentration risk worth defending, but a straight cut with no commitment back sets a floor for the whole distributor group's next 339-store negotiation.

Proposed structure: raise list to $7.35/unit (+5%, roughly half of the 9.3% full pass-through, absorbing about 2.5 margin points as a deliberate, time-boxed investment) paired with a 2-year committed-volume agreement at 300,000 units/year (+4.2%) and a volume rebate: 2% back at the committed 300,000-unit tier, 4% back if the account hits 315,000 units (+9.4%).

Reconciling the numbers (all margin figures net of any rebate paid):

Gross margin at the negotiated price is $2.76/unit ($7.35 − $4.59) × 300,000 units = $828,000, less the $44,100 rebate = $783,900 net. The buyer's effective net price after the rebate is $7.35 × 0.98 = $7.203/unit — a 2.9% increase over today, against a 9.3% cost increase the manufacturer is otherwise absorbing alone. The manufacturer's net margin dollars ($783,900) beat both the buyer's original ask ($532,800, by $251,100) and a flat-price hold against the new cost base ($694,080, by $89,820), because the higher committed volume more than offsets the smaller, earned discount.

Effective [date], list moves from $7.00 to $7.35/unit (+5%) to reflect confirmed freight (+12%) and material (+9%) cost increases on our end — just over half of the full 9.3% increase those costs represent.

In exchange, we're proposing a 2-year committed-volume agreement at 300,000 units/year, with a growth rebate structure:

• 300,000 units/year (current run-rate +4%): 2% rebate, paid quarterly against actual purchases.
• 315,000 units/year (+9%): 4% rebate.

At the base tier, your effective net price is $7.20/unit — a 2.9% increase, not the 9.3% our costs actually moved — while giving Heartland price certainty locked for 24 months regardless of further input-cost movement on our side. This structure also qualifies the program for continued co-op ad fund support at the current 2% rate.

The rep's internal note to the sales manager, requesting sign-off, states the concession plainly: "5% list increase against a 9.3% cost increase, absorbing roughly 2.5 margin points as a retention investment on an 18%-of-territory account, contingent on a signed 2-year volume commitment — walks away from the table if Heartland won't commit past 12 months."
