Insurance Requirements Contract Review

Purpose

Review the insurance and indemnity provisions of a contract — lease, master services agreement, vendor agreement, construction agreement, service agreement, or purchase agreement — into a source-cited requirements table, a risk matrix, a missing-provisions list, and negotiation points for attorney review. This skill organizes what the contract requires and flags gaps from the user's perspective; it reaches no conclusion that the requirements are legally sufficient.

Use When

• The insurance and indemnity clauses of a contract must be reviewed and organized for an attorney.
• A party needs the required policies, limits, endorsements, and indemnity terms mapped from its perspective.
• Missing or one-sided insurance provisions must be flagged before negotiation or signing.

Required Inputs

• The contract, with the insurance and indemnity clauses, and source references.
• The contract type (lease, MSA, vendor agreement, construction agreement, service agreement, purchase agreement, or other) — or not provided.
• The user's role (the party requiring coverage, the party providing it, landlord, tenant, owner, contractor, customer, vendor, or other) — or not provided.
• Optional but recommended: the user's standard insurance requirements or playbook.
• Optional: the practice group's practice-profiles/insurance.md if it has been populated and is loaded alongside this skill. If present, the skill uses its Standard Positions and Escalation Thresholds tables to benchmark the output and to gate escalation. If absent, the skill proceeds without practice-profile benchmarking and asks the user to supply standing positions inline if needed.
• Any dates or notice periods in the clauses, echoed and marked [deadline verification required].
• Jurisdiction and governing law, or [verify jurisdiction] — anti-indemnity and insurance-procurement rules are jurisdiction-specific.

If the contract or the insurance/indemnity clauses are missing, record it as not provided and return the missing-information list first. Do not review from a description alone.

Do Not Use When

• The request is to conclude that the insurance or indemnity provisions are adequate, sufficient, or enforceable.
• The request is to determine the legal effect or scope of an indemnity, additional insured, or waiver clause, or to opine on anti-indemnity rules.
• The request is to draft final clause language, or for legal advice.
• The task is to review a certificate (use certificate-of-insurance-review) or a policy (use insurance-policy-summary).

Also out of scope (this skill does not): conclude that the insurance or indemnity provisions are adequate, sufficient, or enforceable; determine whether a party can meet the requirements; decide the legal effect or scope of an indemnity or additional insured clause; opine on insurability or anti-indemnity rules; draft final clause language; or constitute legal advice.

Workflow

1. Confirm the gates: the contract, the contract type, the user's role, and jurisdiction. Record any missing gate as not provided.
2. Build a source register for the insurance and indemnity clauses.
3. Extract the required policies — type, and the party required to carry each.
4. Extract the limits, sublimits, deductibles, and SIRs required, and any required carrier rating, as written.
5. Extract the endorsement and status requirements — additional insured, waiver of subrogation, primary and noncontributory, and any required form references. Cross-check against skills/insurance/references/red-flags.md (Section 4) and fold any pattern found into the risk matrix.
6. Extract the administrative requirements — certificates, notice of cancellation or nonrenewal, renewal evidence, and subcontractor or lower-tier requirements.
7. Extract the indemnity provisions and note how they interact with the insurance requirements and the overall risk allocation — without deciding scope or effect.
8. Build the role-aware risk matrix — requirement or gap, source, why it matters to the user's side, risk level, attorney follow-up. Where the user's standard insurance requirements or playbook was supplied — either inline or via the loaded practice-profiles/insurance.md Standard Positions section — benchmark each extracted requirement against it: flag below-floor limits, missing required endorsements, missing required carrier ratings, and any deviation from the group's standing additional-insured / waiver-of-subrogation / primary-noncontributory posture. Where the profile is loaded but is silent on a specific requirement, treat it as not addressed by the playbook and flag for attorney review.
9. After a full review, list missing provisions — provisions a contract of this type usually contains but this one omits.
10. List negotiation points (direction only); echo dates for verification; draft the attorney verification checklist.

Output Format

1. Gates table — contract type, user's role, jurisdiction, with status and source.
2. Contract insurance requirements table — requirement | detail as written | responsible party | source clause. Follows the Contract Insurance Requirements Table pattern in skills/insurance/references/output-patterns.md.
3. Indemnity and risk allocation — indemnity provisions and how they interact with the insurance requirements, source-cited, with no scope or effect determination.
4. Risk matrix — requirement/gap | source | concern for the user's side | risk (High/Medium/Low) | attorney follow-up.
5. Missing provisions — expected provisions marked not found.
6. Negotiation points — direction of change only, from the user's side.
7. Attorney verification checklist and assumptions.

Optional: Business Stakeholder Summary

When the output will brief a non-lawyer business stakeholder, add a clearly labeled Business Stakeholder Summary following core/business-stakeholder-communication.md — a plain-language Business Summary, the Decision Needed, a Recommended Ask, a Fallback Position, and an Escalation Needed? call. It is an addition to the deliverable above, never a replacement, and it does not change the attorney-review requirement.

Attorney Verification Checklist

• The contract, the contract type, and the user's role are confirmed.
• Jurisdiction and governing law are identified or flagged [verify jurisdiction].
• Every extracted requirement cites its clause.
• No conclusion that the insurance or indemnity provisions are adequate, sufficient, or enforceable appears.
• No determination of the legal effect or scope of an indemnity or additional insured clause appears.
• Missing provisions are listed only after a full review.
• Negotiation points state direction only — no drafted clause language.
• Notice periods and dates are echoed and flagged for verification, not computed.
• No invented insurance law, anti-indemnity rules, or citations appear.
• A qualified attorney has reviewed before negotiation or signing.
• If a practice profile was loaded: every Standard Position and Escalation Threshold that applies to the matter facts has been surfaced; deviations are flagged; profile-silent items are flagged as not-yet-addressed by the playbook.
